NON-DISCLOSURE AGREEMENT (NDA) & CLIENT ASSET OWNERSHIP POLICY

Parties: Ciphers Digital Marketing (“Agency”) and [Client Name] (“Client”)
1. CONFIDENTIALITY
1.1. All information exchanged between the Agency and the Client, including but not limited to business processes, login credentials, lead tracking methods, marketing strategy, and client data, shall be kept strictly confidential.
1.2. Neither the Agency nor any of its employees, contractors, or affiliates shall disclose or share confidential information with any third party without the express written consent of the Client.
1.3. Confidentiality extends indefinitely beyond the termination of services.
2. ASSET OWNERSHIP
2.1. All digital assets created for or managed on behalf of the Client, including but not limited to websites, ad accounts, CRM configurations, analytics data, media content, and domain access, remain 100% owned by the Client.
2.2. The Agency will ensure full transparency, provide access credentials when requested, and avoid any form of platform lock-in or proprietary restrictions that prevent transferability or full client control.
3. SERVICE AREA EXCLUSIVITY
3.1. Ciphers Digital Marketing does not work with any competing business within a 5-mile radius of the Client’s business location once a formal engagement has been established.
3.2. This exclusivity applies to core services provided by the Client and includes all SEO, digital advertising, content marketing, and web development services.
4. DATA SECURITY & STORAGE
4.1. All client data is securely stored and never shared, sold, or transferred to any third party.
4.2. No sensitive client information ever leaves Ciphers Digital Marketing’s secure servers or collaborative platforms unless explicitly authorized by the Client.
5. MUTUAL COMMITMENT
5.1. The Agency commits to delivering high-quality, data-driven marketing services with full transparency and open communication.
5.2. In return, we ask our Clients to provide honest feedback, shared expectations, and timely collaboration.
6. GOVERNING LAW
This Agreement shall be governed in accordance with the laws of the State of Arizona.
By choosing to engage with Ciphers Digital Marketing, the Client agrees to the principles outlined above. A fully executable version of this NDA can be provided upon request.
